Rolta's Consolidated Revenue grows 55.4% and Net Profit grows 44.3 % Y-o-Y
April 17, 2008: Mumbai,India: Rolta India Limited, one of India's leading IT companies, specializing in GeoSpatial Information Systems (GIS), Engineering Design Automation (EDA) and Enterprise Information and Communication Technology (EICT), today announced unaudited financial results for the third quarter ended March 31, 2008.
Financial Highlights
* Consolidated Revenue for the quarter increased to Rs. 2,883.7 mn (USD 72.2 mn) as against Rs. 1,855.9 million (USD 42.7 Million) in corresponding quarter of the previous year, a year-on-year growth of 55.4% and quarter-on-quarter (Q-o-Q) growth of 19.3%.
* Consolidated Profit After Tax for the quarter ended March 31, 2008 has shown a robust year-on-year (y-o-y) growth of 44.3 % to Rs. 657.2 mn (USD 16.5 mn), as against Rs. 455.4 mn (USD 10.5 Million) in the corresponding quarter of the previous year, and Q-o-Q growth of 9.1%.
* Consolidated Basic Earnings Per Share adjusted for the issue of Bonus Shares at 1:1 in January 08, was Rs. 4.1 (USD 0.10) for the quarter ended March 31, 2008 as against Rs. 2.8 (USD 0.07) in the corresponding quarter last year.
Operational Highlights
The Company continued to strengthen its operations to sustain its rapid growth and to prepare itself for a larger scale of operations. Towards this end, the Company appointed Ms. Preetha Pulusani as a Joint Managing Director and a member of the Board, based in Mumbai. She brings extensive first-hand experience specifically in GIS and EICT to the Company, having served in the US as the President of Intergraph’s GIS and Mapping business unit, and also as the CEO of Adeptmedia Corporation. Rolta also appointed Mr. Karl Seil as Director of the Engineering to head the business unit in Mumbai. He was formerly in the US with Bechtel for 22 years, and then with Stone & Webster as Director Engineering and Worley Parsons as VP of Operations and Engineering. The Company established a subsidiary in Sydney, Australia and appointed Mr. Dinesh Desilva as the President. The Company has similarly added senior management staff in various divisions and global subsidiaries to boost our sales, marketing and delivery capabilities.
The Rolta Academy, established as a captive facility to train entry-level employees in a structured manner, has proven to be a very successful initiative. During the quarter over 300 technical professionals were inducted in various disciplines raising the total employee strength of the Company to about 5,000.
The Company’s internal operations are being strengthened by implementing a comprehensive ERP solution that covers all business units worldwide. The first phase of the implementation was successfully completed during the quarter. This provides a robust foundation for the rapidly increasing scale of operations, and for efficiently integrating operations of acquisitions with those of the Company.
In the GeoSpatial Information Systems (GIS) segment, the Company won large orders from nodal agencies and power distribution companies in India. The Company continues to win and execute defense contracts. In the International markets, the company has been awarded large contracts by telecom and utility majors. Rolta continues to make inroads into newer segments of GIS with innovative deployment of our OnPoint technologies.
Rolta Thales Limited (RTL) the company’s Joint Venture with Thales has made significant progress in introducing various new technologies to the Indian Defence segment.
The Company has won large orders for services and solutions in the Engineering Design segment from a number of Indian owner-operators and EPCs in the petroleum, refining and power segments. On the international front, Rolta continues to execute large engineering design projects. New business won during the quarter includes projects in the Middle East and add-on business for detail design and engineering analysis from clients in Europe and North America. During the quarter, the company also won several contracts for ship design services from large European shipyards.
Stone & Webster Rolta Limited (SWRL) the joint venture company continues to report steady growth with several large projects from petrochemical companies and large refineries apart from providing engineering design services for global projects of Stone & Webster. The company is currently executing a prestigious multi year engineering design and procurement project from the global major Exxon Mobil.
Rolta continued to make rapid strides in growing its e-security and network management business in partnership with CA. Similarly, Rolta’s Oracle technology and applications business has shown significant growth. The Company has booked new business in all geographical regions worldwide, including multi-million dollar orders.
The Company acquired TUSC, the “Oracle technology experts” based in Chicago. Integration of this company into Rolta’s mainstream operations is well underway. Acquisition of TUSC has given an impetus to building a strong portfolio of products, technology and high-end services, and has resulted in a quantum jump in consolidated EICT business. Rolta Announces Acquisition of TUSC
January 23, 2008: Mumbai,India: Rolta, one of India’s leading IT companies, specializing in GIS/GeoSpatial Information Systems, Engineering Design, and Enterprise Information & Communications Technology, today announced the acquisition of Broech Corporation, doing business as “TUSC”, an IT Consulting Company specializing in ERP applications as well as Database and Business Intelligence solutions, based on Oracle technologies. The consideration for this transaction is about US$ 45 million, including escrows and earn-outs. Rolta expects this transaction to be immediately accretive to shareholder value in the current fiscal year ending in June 2008.

Rolta's Net Profit grows 37.9 % Y-o-Y & 11.2 % Q-o-Q

* Consolidated Revenue for the quarter was at Rs. 1855.9 M (USD 42.7 M) as against Rs. 1419.1 million (USD 31.8 M) in corresponding quarter of the previous year, a year-on-year (y-o-y) growth of 30.8 %.
* Consolidated Profit After Tax for the quarter ended March 31, 2007 has shown a robust year-on-year (y-o-y) growth of 37.9 % to Rs. 455.4 M (USD 10.5 M), as against Rs. 330.3 Million (USD 7.4 Million) in the corresponding quarter of the previous year.
* Consolidated Earnings Per Share for the quarter ended March 31, 2007 was Rs. 5.7 (USD 0.13) after considering the dilution of GDR issue, as against Rs. 5.2 (USD 0.12) in the corresponding quarter last year.
* Consolidated Revenue for the quarter ending March 31, 2007, registered a quarter-on-quarter (q-o-q) growth of 10.4 %, whilst the consolidated net profit for this period grew at 11.2 %, over that of the quarter ended December 31, 2006.
* Consolidated Net Profit margin improved to 24.5 % in the quarter as against 23.3 % in the corresponding quarter last year.
OPERATIONAL HIGHLIGHTS
GIS: During the quarter, we continued to move up the value chain by providing high-end consulting, web enabling of GIS data and system integration. Rolta has executed several projects in domestic and international markets for high-end GIS services on varied platforms by leveraging its expertise in multiple technologies and extensive domain knowledge. We have won large projects for network database creation and mapping for network management from large integrated electricity generation and distribution companies in Europe and from a large telecommunication company in the Middle East.
Rolta has been appointed a principal member of the OGC®, The Open Geospatial Consortium, US. This will enable the company in taking a leadership role in promoting the benefits of interoperable geoprocessing in the Indian and international market. Ben Eazzetta, President - International Operations will represent Rolta on the OGC Board.
The joint venture with Thales is progressing well and appropriate approvals have been received from the French and Indian Governments. The JV company is expected to be incorporated in this quarter.
EDA: The company has won several large projects from both owner-operators and EPC companies in India and overseas including a large order from an Indian owner-operator. The company is moving up the value chain and is a preferred provider of high-end technology services in 3D environment for one of the largest companies in North America. With multi disciplinary project experience and domain expertise in the refinery, petrochemical and power sectors, the company is uniquely positioned to address the emerging huge demand in India and overseas.
In the Ship Design Services, the company has expanded from domestic projects and has achieved significant progress in international markets. The company has won orders from two renowned international shipyards in Europe and is uniquely positioned to address the huge potential for offshoring ship design services in coming years.

eServices: Our eSolutions business group has maintained the growth momentum and continues to execute several large projects for CA's large customers.
The company's new initiative, Gaming Services, has made a breakthrough in providing game development services in Europe & US and received a maiden order from a game company in Europe. These services include in-game character animation, modeling and texturing of characters & objects for various game projects.

Rolta Announces New President of International Operations
March 6, 2007: Rolta India Limited , a multinational organization that has executed projects in over 35 countries, today announced the appointment of Ben Eazzetta as President of International Operations. Based in Atlanta, he will head Rolta’s subsidiaries in the US, Europe and the Middle East.

Prior to joining Rolta, Ben was President of Intergraph’s SG&I division in Huntsville, AL. He was responsible for all aspects of global sales, marketing, delivery and business development. His career with Intergraph spanned over six years and included several positions including Chief Operating Officer of the Process, Power and Marine Division and President of the Public Safety Division.
Ben was also a Vice President, and Co-founder of Industria.com. He and the other Industria founders were successful in raising capital and Ben lead the product management and pre-sales teams. Prior to Industria, Ben worked at Exxon Company, USA for more than twelve years beginning his career as a Mechanical Engineer at the Baytown refinery in Texas and was promoted to Operations and Maintenance Department Head responsible for safety, operations, training and contract administration.
Mr. Eazzetta graduated from the Georgia Institute of Technology with a Bachelor of Science degree in Nuclear Engineering and Master’s degree in Mechanical Engineering.
Rolta's Net Profit Grows 9.7 %
January 24, 2007: Rolta India Limited, one of India's leading IT companies, specializing in GeoSpatial Information Systems (GIS), Engineering Design Automation (EDA) and eSolutions (eS), today announced unaudited financial results for the second quarter ended December 31, 2006.
FINANCIAL HIGHLIGHTS
· Consolidated Revenue for the quarter was at Rs. 1681.03 Million (USD 37.97 Million) as against Rs. 1312.06 million (USD 29.03 Million) in corresponding quarter of the previous year, a year-on-year (y-o-y) growth of 28.1 %.
· Consolidated Profit After Tax for the quarter ended December 31, 2006 has shown a robust year-on-year (y-o-y) growth of 30.5 % to Rs. 409.39 Million (USD 9.25 Million), as against Rs. 313.68 Million (USD 6.94 Million) in the corresponding quarter of the previous year.
· Consolidated Earnings Per Share for the quarter ended December 31, 2006 was Rs. 5.12 (USD 0.12) after considering the dilution of GDR issue, as against Rs. 4.92 (USD 0.11) in the corresponding quarter last year.
· Consolidated Revenue for the quarter ending December 31, 2006, registered a quarter-on-quarter (q-o-q) growth of 8.7 %, whilst the consolidated net profit for this period grew at 9.7 %, over that of the quarter ended September 30, 2006.
· Consolidated revenue of CAD/CAM/GIS segment was Rs. 1474.51 (USD 33.31 mn) as against Rs. 1183.27 mn (USD 26.18 mn) representing a y-o-y growth of 24.6 % and sequential growth of 8.2 %.
· Consolidated revenue of eBusiness Solutions segment was Rs. 206.52 (USD 4.66 mn) as against Rs. 128.79 mn (USD 2.85 mn) representing a y-o-y growth of 60.3 % and sequential growth of 12.2 %.
· Consolidated Net Profit margin improved to 24.4 % in the quarter as against 23.9 % in the corresponding quarter last year.
· Consolidated Revenue for the half year was at Rs. 3227.26 Million (USD 72.90 Million) as against Rs. 2485.06 million (USD 54.98 Million) in corresponding period of the previous year, a y-o-y growth of 29.9 % and Consolidated Profit After Tax for the half year has shown a robust y-o-y growth of 32.7 % to Rs. 782.58 Million (USD 17.68 Million), as against Rs. 589.55 Million (USD 13.04 Million) in the corresponding period of the previous year.
OPERATIONAL HIGHLIGHTS
· GeoSpatial Information Systems (GIS)
During the quarter, the company has bagged major orders for GeoSpatial/GIS based asset management in the infrastructure domain from Airports and Seaports in India. Internationally, the company has won large projects involving corridor mapping for municipalities and railroads, asset mapping for telecom and electric companies and high end Photogrammetry /LIDAR including 3D city mapping in the Middle East, Europe and USA.

Rolta Announces Joint Venture with Thales
August 17, 2006: Rolta is pleased to announce its Joint Venture with Thales, France. FINANCIAL HIGHLIGHTS

· Consolidated Profit After Tax for the year ended June 30, 2006 has shown a robust growth of 41.1% to Rs. 1273.17 Million (USD 27.68 Million), as against Rs. 902.16 Million (USD 19.61 Million) in the previous year.

Rolta Q3 Consolidated Net Profit at Rs. 33.03 Crores (US$73.4M), up by 38.4%
April 24, 2006: Rolta India Limited, India’s leading CAD/CAM/GIS solutions and services provider, announced impressive unaudited results for its third quarter ending March 31, 2006.
The total consolidated income of the company for the quarter stood at Rs. 142.82 Crores (US$ 31.7M) as against total consolidated income of Rs. 110.46 Crores (US$ 24.5M) during the corresponding quarter of the previous year, reflecting a year-on-year (y-o-y) growth of 29.3%. The consolidated Net Profit after tax for the quarter ended March 31, 2006 was Rs. 33.03 Crores (US$5.2M). This represents a growth of 38.4 % y-o-y over the consolidated net profit of Rs. 23.87 Crores (US$7.3M) in the corresponding quarter last year.
The total consolidated income registered a quarter-on-quarter (q-o-q) growth of 7.7%, whilst the consolidated net profit also represents a growth of 10.6 % over that of the previous quarter ended December 31, 2005.
The Company’s consolidated income for the nine-months period ended March 31,2006 registered growth of 30.5% and was at Rs. 393.47 Crores (US$87.4M) as against Rs. 301.59 Crores (US$ 67.0M) in the corresponding nine-months period last year. The consolidated net profit after tax for the nine-months period ended March 31, 2006 was higher at Rs 91.99 Crores (US$20.4M) as against Rs. 65.63 Crores (US$ 14.4M) in the previous year reflecting a growth of 40.2%.
Rolta Successfully Lists its GDR on Main Board of the London Stock Exchange
April 19, 2006: Rolta India Limited (the "Company") raised US$ 103.50 million, through the issue of 18,482,143 Global Depository Receipts ("GDRs"), including a green shoe option of US$ 13.50 million to be exercised within 30 days by the Joint Lead Managers. Each GDR was priced at US$5.60, equivalent to Rs.250 per equity share. This was based on the Bombay Stock Exchange average closing price of Rs.250.89 for the four weeks ending on the pricing date. The issue was priced on April 7, 2006 and closed on April 18, 2006. Lehman Brothers International (Europe) acted as Global Coordinator and Sole Bookrunner on this transaction. Lehman Brothers International (Europe) and Cantor Fitzgerald Europe acted as Joint Lead Managers.
The GDRs were admitted to listing on the Official List of the UK Listing Authority and admitted to trading on the London Stock Exchange plc's regulated market for listed securities on April 18, 2006. With this listing on the main board of London Stock Exchange, the company will comply with the European Union directives and disclosure norms such as giving Financial Statements under International Financial Reporting Standards (IFRS) and others showing its commitment to corporate governance internationally.
After this GDR issue the FII holding in the company is about 31%, Domestic Mutual funds /FIs / Banks / Corporate Body holding is about 10%, Public holding is about 21% and Promoters holding is about 38%. Rolta Q2 Net Profit up 34.6%
January 24, 2006: Mumbai, India - Rolta India Limited, India’s leading CAD/CAM/GIS solutions and services provider, announced impressive Unaudited Results for its second quarter ending December 31, 2005. The total sales of the company for the quarter were Rs. 109.76 Crores (US$ 24.3M) against total sales of Rs. 80.05 Crores (US$ 17.7M) during the corresponding quarter of the previous year, reflecting a growth of 37.1%.
The Net Profit after tax for the quarter ended December 31, 2005 was Rs. 35.28 Crores (US$ 7.8M). This represents a growth of 34.6 %over the net profit of Rs 26.21 Crores (US$ 5.8M) in the corresponding quarter last year. The net profit of the company has registered a growth of 11.4 % on a sequential basis over the net profit of Rs 31.68 Crores (US$ 7.0M) for the Quarter ended September 30.2005. The Basic Earning Per share for the quarter ended December 31, 2005 were Rs. 5.5 as against Rs 4.1 in the corresponding period in previous year, signifying a growth of 34.6 %.
The total sales for the half-year ended December 31, 2005 was Rs 200.26 Crores (US$44.4M), an increase of 29.1% over the comparable income of Rs 155.08 Crores (US$34.4M) for the corresponding period in the previous year. The Net Profit after tax for the half year ending December 31, 2005 was Rs 66.95 Crores (US$ 14.8M) as against Rs 51.33 Crores (US$ 11.3M) in the corresponding period last year, reflecting a healthy growth of 30.4 %.
The Company’s consolidated sales for the half year ended December 31,2005 also registered growth of 35.1% and was at Rs. 248.51 Crores (US$ 55.1M) as against Rs. 184.00 Crores (US$40.8M) in the corresponding period last year. The consolidated net profit after tax for the half year ended December 31,2005 was also higher at Rs. 58.96 Crores (US$ 13M) as against Rs. 41.76 Crores(US$ 9.2M) in the previous year reflecting a growth of 41.2 %.

Rolta 2004-05 Net Profit at Rs. 103.35 crores (US$ 23,780,488); higher by 28.4%
August 15, 2005:Rolta India Limited, India’s foremost CAD/CAM/GIS solutions and services provider, announced Audited Financial Results for the year ended June 30, 2005. The total revenue of the Company for the year was Rs. 356.31 crores (US$ 95,200,000) as against total revenue of Rs. 301.05 crores (US$ 78,270,594) in the previous year representing a growth of 18.4%.
The Profit After Tax for the year ended June 30, 2005 also registered healthy growth of 28.4%and was Rs.103.35 crores (US$ 23,780,488) as against Rs. 80.50 crores (US$ 18,522,780) in the last accounting year 2003-04. Rolta’s Earning Per Share and Cash Earning Per Share for the financial year ended June 30, 2005 were Rs. 16.2 and Rs. 23.3 respectively.

The net sales of the company for the quarter were Rs. 88.83 Crores (US$ 20,439,485) as against net sales of Rs. 72.16 Crores (US$ 16,603,774) during the corresponding quarter of the previous year, reflecting a growth of 23.1%. Rolta Awarded Moon Mapping
March 4, 2005: Rolta International, Inc. has been awarded a project to create detailed topographic maps of the surface of moon. The data is provided to Rolta in a digital image format and Rolta is generating accurate 3 dimensional vector contours and spot elevations for use in terrain modeling. Over 200 map sheets of the lunar surface are being converted at a scale of 1:10,000 and 1: 20,000. The data is being delivered in ESRI geodatabase format.
Rolta’s client is a major technology company in Japan that has been continuously using Rolta’s Photogrammetry services for several years. The work is being done in Rolta’s state-of-the-art Photogrammetry production center in Mumbai, India.
ABB and ESRI Deliver New GIS/Distribution Management System for San Antonio, TX Utility
March 2, 2005: ABB, the leading power and automation technology company, and ESRI, the world leader in geographic information system (GIS) software, announced today that the two companies have been selected to implement a new outage management system (OMS) and GIS for City Public Service (CPS), a San Antonio, Texas, municipally owned natural gas and electric utility.
ABB, the prime contractor, and ESRI are joined on the project by Miner & Miner (design software) and Rolta International (data conversion services). The project will replace CPS’ legacy systems with state-of-the-art tools that are also integrated with customer service and crew management processes.
“The outage management capabilities along with available distribution management applications and a tight integration with GIS contributed to our decision to go with ABB and ESRI,” says Fred James, vice president of operations at CPS. “We believe the open, standards-based GIS technology will give us a platform to build from. Also, the commitment from ABB’s management team was very important, in particular ABB’s and ESRI’s ability to integrate the new capabilities with our existing systems including SAP.”
The OMS, part of ABB’s Network Manager DMS package, will allow CPS to spatially locate outages and outage sources and identify trends and patterns of outages in real time. Operators can then dispatch a single crew to deal with a specific problem rather than sending multiple crews to a general area to locate and fix a given fault.
“That should mean shorter outages, fewer hours spent in the field, and more power restoring efficiency,” notes CPS’ James. “Customer service representatives will also have access to more information, allowing them to provide more specific and timely information to customers.”
ESRI’s ArcGIS 9 suite of software will serve as the enterprise GIS platform. Software includes ArcInfo, ArcEditor, ArcView, ArcIMS, ArcSDE, and ArcPad. ArcInfo and ArcEditor will be used for data creation, editing, and maintenance. ArcView will provide desktop analysis and viewing capabilities. ArcIMS will be used for Internet and Intranet GIS capabilities. ArcPad will be used for mobile field applications, and ArcSDE will integrate GIS within the company’s relational database management system. In addition, ESRI Professional Services is working with ABB to seamlessly integrate the GIS with SAP enterprise resource planning software and on the implementation of a mobile GIS solution using ArcPad.
The system can be used for the full range of energy needs including facilities and field management, distribution, engineering, operations, map book generation, and more. This will optimize operational efficiency, improve decision support and collaboration, and make data dissemination faster and easier for CPS.
The new integrated GIS, OMS, and SAP system will also replace previously separate design and work management software and will allow CPS planners to design gas and electric facilities using one system. This will facilitate CPS’ business processes and result in many benefits. For instance, it will also allow CPS users to test how proposed additions to the electric and gas networks work with existing infrastructure. Moreover, the implementation will allow planners and operators to see how far a particular design has progressed (e.g., which sections are energized, which have been built but are not live, and which are still under construction).
The project is slated to put the initial stages of the GIS and OMS systems online early in 2006. Full system implementation is expected early in 2007.

The total income for the half-year ended December 31, 2004 was Rs 161.92 Crores (US$ 37,300,161), an increase of 27.2% over the comparable income of Rs 127.28 Crores (US$ 29,320,433) for the corresponding period in the previous year. The Net Profit after tax for the half year ending December 31, 2004 was Rs 51.33 Crores (US$ 11,824,464) as against Rs 42.50 Crores (US$9,790,371) in the corresponding period last year, reflecting a healthy growth of 20.8 %.

The total income for the year was Rs. 301.05 Crores (US$ 65,538,585) as against a total income of Rs. 383.57 Crores (US$ 83,503,189) for the 18-months period ended June 30, 2003 representing an annualized growth of 17.7%. The Net Profit after depreciation and before provision for taxation for the year ended June 30, 2004 was Rs. 91.13 Crores (US$ 23,672,755) recording an annualized growth of 10.7% over the last accounting period 2002-03. The Profit after tax was Rs. 80.50 crores (US$ 20,911,410) and the diluted Earning Per Share and Cash Earnings Per Share for the financial year ended June 30, 2004 were Rs. 12.6 (US$ 2,743,020) and Rs. 21.5 (US$ 4,680,550) respectively.

Rolta announces 29 % jump in Net Profit, Declares Impressive Q2 results
January 31,2004: Rolta India Limited, India’s premier CAD/CAM/GIS solutions and services provider, announced impressive unaudited results for the quarter ended December 31, 2003. The total income for the quarter was Rs. 62.06 Crores (US$ 13,702,786) reflecting a growth of 20.1 % over comparable income of Rs.51.69 Crores(US$ 11,413,100) for the corresponding quarter in the previous year. The net profit after depreciation and tax for this quarter was Rs. 20.11 Crores (US$ 4,440,268) against a net profit of Rs. 15.61 Crores (US$ 3,446,672) during the same quarter of the previous year, representing a growth of 28.8 %. The earning per share (EPS) for the quarter was Rs. 3.2 (US$ 706,557) as compared to Rs. 2.5 (US$ 551,998) for the corresponding period last year. The improved profitability of the Company is mainly due to the all-round reduction in various costs and increased revenue.
The total income for the half-year ended December 31, 2003 was Rs. 127.28 Crores (US$ 28,103,297) an increase of 13.7 % over the comparable income of Rs. 111.97 Crores (US$ 24,772,864) for the corresponding half-year in the previous year. The Net Profit after tax for the half-year ended December 31, 2003 was Rs. 42.50 Crores (US$ 9,383,958) against Rs. 36.03Crores (US$ 7,955,388) in the corresponding period last year reflecting a growth of 18.0 %.
